This document outlines the general terms and conditions governing the subscription to and usage of iFox Host's services. These General Terms and Conditions must be read together with the specific Service Terms and Conditions and Policies of iFox Host. By subscribing to and using any of the services offered by iFox Host, the Customer and its users irrevocably agree to be bound by the provisions of these General Terms and Conditions, the relevant Service Terms and Conditions, and iFox Host's Policies. In the event of a discrepancy between this Agreement and the Service Terms and Conditions, the latter will take precedence.
General Terms and Conditions
1. Definitions and Interpretation In this Agreement, the words hereunder will have the meanings assigned to them below:
"Agreement" means these General Terms and Conditions, applicable Services Terms and Conditions, and all Policies of iFox Host, as amended and updated from time to time.
"Confidential Information" means any proprietary or confidential information regarding iFox Host, its operations, strategic objectives, technical information, customer lists, and intellectual property.
"Customer", "you", or "your" refers to the Customer subscribing to and using the services provided by iFox Host.
"iFox Host" refers to iFox Host (Pty) Ltd, a company duly incorporated in South Africa with its business address at 123 Main Street, Johannesburg, South Africa.
"iFox Host System" refers to the equipment and infrastructure operated by iFox Host to provide its services.
"iFox Host Website" refers to the website available at https://www.ifoxhost.com.
"Fees" refers to the charges applicable for the services provided by iFox Host, as specified on its website.
"Malicious Code" refers to any harmful code including viruses, Trojan horses, or other threats that may disrupt services.
"Personal Information" means any identifiable information as defined under the Protection of Personal Information Act (POPIA).
2. Application and Initiation of Services By subscribing to the services, the Customer authorizes iFox Host to provide the agreed services for the duration of this Agreement. Each application constitutes a separate contract, and iFox Host reserves the right to refuse service based on prior conduct.
If required, a credit reference or risk assessment may be conducted before service activation. Service provision is subject to the receipt of necessary documentation as per the Regulation of Interception of Communications and Provision of Communication-Related Information Act (RICA).
3. Commencement and Termination This Agreement becomes effective upon the Customer's registration for any services with iFox Host and continues on a month-to-month basis unless terminated with at least one calendar month's notice. iFox Host may suspend or terminate services under specific conditions, including non-payment or breaches of the Acceptable Use Policy.
4. Fees, Charges, and Payment
Fees are payable monthly in advance.
All payments are to be made via debit order, credit card, or EFT.
Late payments may incur interest and potential suspension of services.
Billing disputes must be raised in writing and will be addressed within 14 business days.
5. Security iFox Host will implement industry-standard security measures but does not guarantee absolute security. Customers must take reasonable measures to protect their data and credentials.
6. Acceptable Use Policy Customers must not engage in any unlawful activities using iFox Host's services, including but not limited to spamming, hosting illegal content, or attempting unauthorized access to systems.
7. Data Protection and Privacy iFox Host complies with the Protection of Personal Information Act (POPIA) and ensures the confidentiality and security of Customer data. Customers are responsible for backing up their data.
8. Service Availability and Maintenance iFox Host aims to provide 99.9% uptime annually but cannot guarantee uninterrupted services. Scheduled maintenance will be communicated in advance.
9. Limitation of Liability iFox Host will not be liable for indirect, incidental, or consequential damages arising from the use or inability to use its services.
10. Dispute Resolution Any disputes arising from this Agreement will first be referred to designated representatives of both parties for resolution. If unresolved, the dispute will be subject to South African legal proceedings.
11. Notices All communications regarding this Agreement must be in writing and sent via email to support@ifoxhost.com or delivered to the registered address of iFox Host.
12. Amendments iFox Host reserves the right to modify these terms and conditions at any time with prior notice provided via its website. Continued use of the services after the amendments indicates acceptance.
13. Governing Law This Agreement is governed by the laws of the Republic of South Africa, and the Customer consents to the jurisdiction of South African courts.
By using iFox Host's services, the Customer acknowledges and agrees to these Terms and Conditions.
